These Terms and Conditions ("Terms") govern your access to and use of lexorant.com and any related pages, content, tools and communications (together, the "Website"), operated by Lexorant ("Lexorant", "we", "us", "our"). By accessing or using the Website, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Website.
Training programmes, assessments, consulting or other paid services are governed by these Terms together with any separate written agreement, proposal or order form. If there is a conflict, the separate agreement prevails for those services.
Lexorant provides intellectual property (IP) training, learning content, assessments and capability-building services. The Website is intended for professionals, organisations and learners aged 18 or over.
You may use the Website for lawful purposes and in accordance with these Terms. You agree not to:
Use the Website in a way that violates any applicable law or regulation
Attempt to gain unauthorised access to the Website, our servers, or any connected systems or accounts
Introduce viruses, malware or any harmful or disruptive code
Scrape, crawl, harvest or copy Website content or data by automated means without our written permission
Interfere with or overload the Website, or circumvent any security or access controls
Impersonate any person or organisation, or misrepresent your affiliation with anyone
Use the Website or its content to build, train or improve a competing product or service, or to train an AI or machine-learning model, without our written permission
We may suspend or restrict access to the Website at any time, without notice, if we reasonably believe these Terms have been breached.
Unless stated otherwise, all content on the Website, including text, articles, course outlines, training materials, frameworks, competency models, assessments, tools, graphics, logos, layout and design ("Lexorant Content"), is owned by or licensed to Lexorant and is protected by copyright and other intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to view the Website and to download or print Lexorant Content that we make publicly available, for your personal or internal business use only. You may not, without our prior written permission:
Copy, reproduce, republish, sell, sublicense or distribute Lexorant Content
Modify or create derivative works from Lexorant Content
Remove any copyright, trademark or other proprietary notice
Use Lexorant Content in your own training, courses, publications or commercial offerings
Training materials, workbooks, assessments and other content provided to participants in a paid programme are licensed only to the enrolled participant or organisation for the stated purpose, and may not be shared or reused beyond that scope unless the applicable agreement says otherwise.
You may quote short excerpts of our public content for commentary, education or news reporting, provided you give clear credit to Lexorant and link back to the original page.
"Lexorant", the Lexorant logo, and the names of our programmes, tools and frameworks are trademarks or brand identifiers of Lexorant, whether or not registered. You may not use them, or any confusingly similar name, logo or mark, in a way that suggests affiliation, sponsorship or endorsement by Lexorant, or as part of your own business, product, domain or social media name, without our prior written consent.
Factual references to Lexorant (for example, "I completed a Lexorant programme") are permitted where accurate and not misleading. Other names, logos and trademarks appearing on the Website belong to their respective owners, and their use here does not imply any affiliation or endorsement.
If you would like to use our name or logo, for instance in a partnership or event listing, please contact us for brand guidelines and permission.
If you send us content through the Website, such as enquiry messages, testimonials, comments or feedback, you confirm that you have the right to share it and that it does not infringe anyone's rights or break the law. You grant Lexorant a non-exclusive, worldwide, royalty-free licence to use, reproduce and adapt that content to operate and improve our services. We will not publish your name or testimonial publicly without your consent.
You must not submit confidential, proprietary or privileged information belonging to you or your employer through general website forms.
The Website and Lexorant Content provide general educational information about intellectual property and related topics. Where you register for a workshop, course, assessment or consulting engagement, the fees, schedule, cancellation and refund terms will be set out in the relevant proposal, invoice or registration page. Fees are payable as stated there, and applicable taxes will be added where required. Certificates or completion records are issued only on meeting the stated requirements of the programme.
The Website and all content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Lexorant disclaims all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Website will be uninterrupted, error-free or free of harmful components, or that any content is current or complete.
To the fullest extent permitted by law, Lexorant, its founder, employees, trainers and partners accept no liability of any kind, whether in contract, tort (including negligence) or otherwise, for any loss or damage arising out of or connected with your use of, or inability to use, the Website or its content, or your reliance on it. This includes direct, indirect, incidental, special or consequential loss, and any loss of profits, revenue, data, goodwill or business opportunity. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
You agree to indemnify and hold harmless Lexorant and its founder, employees and partners from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website or Lexorant Content, or your violation of any law or third-party right.
Your use of the Website is also governed by our Privacy Policy, which explains how we collect and use personal data. By using the Website you acknowledge that policy.
We may suspend or terminate your access to the Website at any time, with or without notice, for conduct that we believe breaches these Terms or is harmful to Lexorant, other users or third parties. Sections that by their nature should survive termination, including those on intellectual property, disclaimers, limitation of liability, indemnity and governing law, will continue to apply.
These Terms are governed by the laws of India. Both parties will first try in good faith to resolve any dispute through discussion. If it cannot be resolved within 30 days, the courts at Delhi, India will have exclusive jurisdiction, subject to any different dispute resolution clause in a separate written agreement between us.
We may update these Terms from time to time. The "Last updated" date above shows the latest revision. Your continued use of the Website after changes are posted means you accept the updated Terms.
These Terms, together with the Privacy Policy and any separate agreement, form the entire agreement between you and Lexorant about the Website. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a business transfer.
